Adova Terms of Service

Please read these Terms of Service ("Terms") carefully before using Adova. By creating an account, accessing, or using Adova, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use Adova.

1. General

These Terms are between you ("you", "User") and MEDIA1 LLC ("Adova", "we", "us", "our") and apply to your use of:

the Adova website and web app;
Adova APIs and related endpoints;
features connected to third-party services.

Adova is provided under a license. It is not sold to you.

2. Eligibility and Authority

You may use Adova only if:

you can form a legally binding agreement;
you comply with applicable laws and regulations;
you are at least 18 years old (or the legal age of majority in your jurisdiction, if higher).

If you use Adova on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Accounts and Credentials

To use most features, you must create an account. You agree to provide accurate and current registration information and keep it updated.

You are responsible for:

all activity under your account;
keeping login credentials confidential;
promptly notifying us of unauthorized access.

We may require additional verification, including for security or compliance reasons.

4. License and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Adova for your internal business operations.

You may not, unless permitted by law or with our written consent:

copy, resell, lease, sublicense, or distribute Adova;
reverse engineer, decompile, disassemble, or attempt to extract source code;
bypass security controls, access restrictions, or usage limits;
use Adova to build a competing service.

5. Subscription, Fees, and Payment

5.1 Paid Service

Some Adova features require an active paid plan. Pricing and plan limits are presented in the app and/or checkout flow.

5.2 Trials

If a trial is offered, trial terms (duration, scope, conversion) are shown at activation.

5.3 Price Changes

We may update pricing prospectively. Updated pricing applies to future billing cycles or purchases.

5.4 Non-Payment

If payment fails or is reversed, we may suspend or terminate access to paid features.

5.5 Refunds

Except where required by law or expressly stated by us in writing, fees are non-refundable once billed and processed.

6. Team Workspaces

Depending on your plan, you may invite team members. The workspace owner (Team Owner) is responsible for:

permissions granted to team members;
team compliance with these Terms;
removing access when users should no longer have access.

When a workspace is canceled or terminated, associated team access may also terminate.

7. Third-Party Services and Integrations

Adova can connect to third-party services (for example Meta/Facebook, Telegram, Cloudflare, Pusher, Sentry, and exchange-rate providers). Your use of third-party services is governed by their terms and policies.

We are not responsible for third-party outages, policy changes, account restrictions, or actions taken by those providers.

8. Your Data and Content

You retain your rights to data you submit to Adova. You grant us a limited right to host, process, transmit, and use that data as needed to provide, secure, and improve Adova and fulfill legal obligations.

You are responsible for ensuring you have all rights, permissions, and legal bases required to submit and process your data through Adova.

9. Acceptable Use

You agree not to use Adova to:

violate laws or regulations;
engage in fraud, abuse, or deceptive practices;
infringe intellectual property, privacy, or other rights;
upload or transmit malware or harmful code;
interfere with platform integrity, performance, or security;
access accounts or data without authorization.

We may monitor for abuse and take enforcement action, including suspension or termination.

10. Intellectual Property

Adova, including software, design, text, logos, interfaces, and non-user content, is owned by MEDIA1 LLC or its licensors and protected by applicable intellectual property laws.

No rights are granted except as expressly stated in these Terms.

11. Privacy

Our data handling practices are described in the Privacy Policy. By using Adova, you acknowledge that your data may be processed according to that policy.

12. Service Availability and Changes

We may change, improve, suspend, or discontinue any part of Adova at any time, including features, integrations, and limits.

13. Suspension and Termination

We may suspend or terminate access immediately if:

you breach these Terms;
your use creates legal, security, or operational risk;
required by law, court order, or regulator request;
payment obligations are not met.

You may stop using Adova at any time. Sections that by nature should survive termination remain in effect (including payment obligations accrued, IP, disclaimers, liability limits, indemnity, and dispute provisions).

14. Disclaimer of Warranties

To the maximum extent permitted by law, Adova is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law:

we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, data, or business opportunity;
our aggregate liability for all claims related to Adova will not exceed the greater of (a) amounts paid by you to Adova in the 12 months before the event giving rise to liability, or (b) USD $50.

Some jurisdictions do not allow certain exclusions/limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless MEDIA1 LLC and its officers, directors, employees, and affiliates from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

your use of Adova;
your data or content;
your violation of these Terms or applicable law;
your infringement of any third-party rights.

17. Governing Law and Disputes

These Terms are governed by applicable laws of the United States and relevant state law, without regard to conflict-of-law principles, unless mandatory local law requires otherwise.

Any dispute will be resolved in the competent courts with jurisdiction over MEDIA1 LLC, unless applicable law provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms are effective when posted, unless otherwise stated. Continued use of Adova after an update means you accept the revised Terms.

19. Miscellaneous

These Terms and the Privacy Policy form the entire agreement between you and us regarding Adova.
If any provision is held unenforceable, remaining provisions remain in effect.
Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with reorganization, merger, asset sale, or by operation of law.
